BILL NUMBER:S3037

TITLE OF BILL:
An act
in relation to the dissolution of the Wadsworth Library and the
redistribution of any funds and/or assets held by such library

PURPOSE:
Wadsworth Library in Geneseo received a charter as a school district
library following a successful public vote in 2008. This bill
formally dissolves the former Wadsworth Library charter, allowing all
assets to be transferred to the newly organized corporation.

SUMMARY OF PROVISIONS:
Section 1 dissolves the Wadsworth Library created in 1869 and
transfers all assets, holdings, and belongings to the Wadsworth
Library, a public school district library established by vote on
October 23, 2007.

JUSTIFICATION:
The Wadsworth Library was incorporated on April 21, 1869 and was
created by Chapter 262 of the Laws of 1869 and amended in 1900, 1924,
1939, 1965, 1976, and 1980. On September 16, 2008, following a
successful public vote, the current Wadsworth Library was granted an
absolute charter in the first instance by the New York State Board
of Regents as a school district public library. This charter
succeeded the former Wadsworth Library created in 1869.

The Library Board would like to dissolve the former Wadsworth Library
and transfer all of the library's assets to the current Wadsworth
Library, a school district library. Until the former association
library is legally dissolved, the trustees of that corporation are
still subject to the legal and fiduciary duties of the corporation.

LEGISLATIVE HISTORY:
A.11271 of 2010

FISCAL IMPLICATIONS:
None.

EFFECTIVE DATE:
This act shall take effect immediately.
