S T A T E O F N E W Y O R K ________________________________________________________________________ 9409 I N A S S E M B L Y March 2, 2022 ___________ Introduced by M. of A. PAULIN -- read once and referred to the Committee on Corporations, Authorities and Commissions AN ACT to amend the religious corporations law, in relation to electron- ic meetings conducted partially or solely by means of electronic communication; and repealing certain provisions of such law relating thereto THE PEOPLE OF THE STATE OF NEW YORK, REPRESENTED IN SENATE AND ASSEM- BLY, DO ENACT AS FOLLOWS: Section 1. Section 28 of the religious corporations law, as amended by chapter 588 of the laws of 2021, is amended to read as follows: § 28. Electronic meetings. Notwithstanding any provision of law, certificate of incorporation or by-laws to the contrary, if the board of trustees of a religious corporation is authorized to determine the place of trustee meetings, corporate meetings, congregant or membership meet- ings, the board of trustees may, in its sole discretion, determine that the meeting shall be held PARTIALLY OR solely by means of electronic communication. IN THE CASE OF A MEETING HELD SOLELY BY ELECTRONIC COMMU- NICATION, the electronic service and/or platform through which the meet- ing is held shall be the place of the meeting for purposes of this chap- ter. MEETINGS CONDUCTED PARTIALLY OR SOLELY BY MEANS OF ELECTRONIC COMMUNICATIONS IN RELIANCE UPON THIS SECTION AND ANY INDIVIDUAL'S ELEC- TRONIC PARTICIPATION IN SUCH MEETINGS SHALL BE SUBJECT TO THOSE GUIDE- LINES AND PROCEDURES AS THE BOARD OF TRUSTEES ADOPTS. § 2. Section 28 of the religious corporations law, as amended by chap- ter 98 of the laws of 2021, is REPEALED. § 3. This act shall take effect immediately.
